Notice to Members — Confirmed AGM and Director Term Arrangements

Director terms

On 25 September 2026, ORIC confirmed that the relevant Director terms will extend until the next available General Meeting. BAC’s AGM is scheduled for 12 December 2026.

Caretaker arrangements

BAC will adopt caretaker-style provisions from 20 October 2026 until the AGM on 12 December 2026.

During this period, the Board will focus on essential governance, compliance and continuity of operations, with major decisions deferred wherever possible. Staff will continue delivering approved activities and services under existing plans, budgets and delegations.

AGM timing

On 24 September 2026, ORIC advised that it would not proceed with regulatory action against BAC for holding its AGM after 30 November 2026.

BAC acknowledged that the AGM would occur after that deadline and explained that 12 December 2026 was the earliest possible date that allowed all minimum timeframes associated with the Director election process to be respected.

These arrangements support an orderly election process while maintaining the Corporation’s operations and governance.
